Entity Formation
Many of Baram, Tapper & Gans LLC’s business clients are interested in the formation and management of business entities. Adhering to these legal formalities prevents a creditor from piercing the corporate veil and seeking debt satisfaction from one or more of the principals. In addition to the formation of entities, BTG’s business attorneys are experienced in all aspects of these transactions and serve the client’s needs as required.
Purchase and Sale of Businesses
BTG’s business attorneys have extensive experience in transactions involving the purchase and sale of businesses including mergers and acquisitions.
Structuring the transaction is an important, and sometimes complex, task. The attorney will, if necessary, consult with the client’s accountant and other professional advisors to create a purchase or sale that is both tax advantaged and legally advantageous to the client.
Financing Matters
Hand-in-hand with business transactions are financing transactions with lenders, factors, venture capitalists, and other financing sources. Employment Law services are offered for personal as well as business law.
Immigration and Nationality Law
On the business side, we assist companies in bringing key personnel to the United States for both temporary and permanent employment. In the temporary visa area, we obtain visas in all of the H categories, E-1, E-2, L-1, O & P visas. On the permanent side, we prepare and file Labor Certification applications on behalf of our clients and other permanent employment based immigration cases such as extraordinary workers, outstanding researchers and professors, international business transferees and National Interest Waivers. We also represent a significant number of investors, religious workers, athletes, and others.
